This agreement is between LifetimeInFocus.com, hereafter referred to as LIF or the "Site", and you, the Photographer. LifetimeInFocus.com is owned and operated by Boulder Professional Photo Service, LLC, 2901 55th Street, Boulder, Colorado 80301 (BPP).

LIF is engaged in placing online and marketing images generated by photographers. LIF provides tools to photographers to facilitate the submitting and processing of image files for this purpose. LIF provides an attractive online storefront and e-commerce enabled web site. The secure LIF shopping cart handles all sales to customers wanting to purchase photographic prints and other image related products available from LIF.

LIF will host an event for 90 days from the time of initialization at no charge. Photographers and clients will be notified at their last known email address when the event is about to expire. Event hosting time can be extended indefinitely by either the Photographer or the client via the web site. LIF cannot guarantee that notification will be received or acted upon by any parties. Files may be deleted from our servers any time after the event has expired. LIF does not act as an archive service and photographers are expected to maintain their own backups.

LIF will produce superior quality prints and products for sale to customers placing orders using the LifetimeInFocus.com online storefront. LIF will provide delivery to the addresses provided by the customers at the time they order. LIF will provide customer service to those ordering products and guarantee the print production and delivery in as much as LIF has control over those issues. Where LIF does not have control over an issue and LIF believes the Photographer can more appropriately address the customer's issue, LIF will refer customer to Photographer. In the event that LIF must refund a customer's payment, Photographer agrees to reimburse LIF for any payment already made to Photographer.

LIF will remunerate to the photographer based on the agreed to commission structure. The amount of commission paid is based on pricing, service, print sizes offered and products offered. Pre determined prices sets can be chosen or custom price sets can be made for you. When viewing the price sets you will see the percent commission paid to the photographer. Checks are sent out during the first week of the month following the sale.

LifetimeInFocus.com supports itself by selling prints and other image related products. You agree to use LIF for that purpose. Using LIF with no intention of selling prints online via LIF's shopping cart is not permitted unless you have contracted for the Online Proofing service. Notices posted on events instructing people not to buy online are prohibited.

LIF will review your image files prior to printing and adjust them to produce the finest prints possible. Full Service is our standard service and guarantees that your clients get the best prints possible from your image files.

Photographer agrees to submit files promptly after an event. After LIF has processed and posted the files online, Photographer will promptly check images, edit and organize as necessary, and make the Event live (turn it ON) as soon as possible. There is no upload charge to photographers that upload their own images. BPP will upload images for you for a small fee.

Photographer will keep a backup copy of original image files. LIF is not responsible for maintaining a permanent archive nor does LIF return original files to Photographer.

Photographer will encourage customers to visit Site and to share Site info with friends and relatives. LIF provides online marketing functions to promote the event including eCards available to the photographer and end users, dollars-off coupons, special discounts, instant connection to Facebook and other social networking sites and notification when events are first turned ON and about to expire.

Photographer has read and agrees to the TERMS of SERVICE and PRIVACY POLICY.

Photographer and LIF will work together to maximize sales for the benefit of Photographer and LIF. Under no circumstances does LIF or BPP guarantee any sales or revenue from the use of this site.

LIF will work diligently to maintain the infrastructure necessary for this Site and to provide 24/7 availability. Understanding the nature of computerized systems, neither LIF, BPP, nor any of its affiliates, subsidiaries, vendors, or partners, will be liable for any interruptions in service or resulting loss in sales.

Photographer agrees to indemnify, defend and hold harmless, LIF, BPP, its staff, officers, directors, and owners; affiliates, subsidiaries, vendors and partners; against any claims or actions resulting from any action, conduct, or omission whether willful or neglectful by Photographer.

LIF agrees to indemnify, defend and hold harmless Photographer against any claims or actions by third parties resulting from acts committed by LIF unless said acts are the direct result of actions, conduct, or omissions by Photographer.

LIF and BPP reserve the right to add to or change any or all of this agreement at any time. Photographers will be notified by email of changes to this agreement.

This agreement is deemed to be made in the City of Boulder, State of Colorado. Any interpretation shall be based on the laws of the State of Colorado.
